The insolvency law of the jurisdiction in which the defaulting entrepreneur initiates insolvency proceedings may affect the application of Section 2(a)(iii) or the right to terminate transactions, notwithstanding the fact that the ISDA Framework Contract may be subject to another applicable law. In the past, HM Treasury has said it will legislate if it believes this issue has not been adequately addressed by the industry. Now that the final documentation has been published, the regulator`s clock has started to tick. Despite the fact that no ISDA protocol is in sight to help modify existing documentation portfolios, a rapid and robust response is expected. Based on the fact that it is “better the devil you know than the devil you don`t know”, companies should in the near future confirm their internal position on all elements of change and begin the process of customer contact necessary to fully implement these changes. Although they did not conclude that 2(a)(iii) was necessarily a “march away” clause (or an “ipso facto” clause, as it is known in the United States), the UK regulators were concerned, after the financial crisis, that Section 2(a)(iii) could be used in this way and questioned aloud the need to continue these practices. The interaction between Section 2(a)(iii) and bankruptcy law in the United States and abroad has created some uncertainty among operators as to how long Section 2(a)(iii) will apply in the event of bankruptcy default, as shown by the following pioneering cases: an important preliminary reflection before relying on Section 2(a)(iii); may be if the relevant type of failure event is able to heal. Depending on the circumstances and terms of the ISDA Framework Agreement, there may be uncertainties about the healing capacity of a particular failure event. In an insolvency scenario, non-defaulting parties, whose positions were not out of the money and who would have owed funds upon termination of the insolvent (defaulting) counterparty, attempted to rely on Section 2(a)(iii) for as long as possible to avoid payments to the insolvent party.

The main legal issue with respect to Section 2(a)(iii) was its implementation under the insolvency law of the defaulting counterparty. Such insolvency laws may have nullified or impaired the effects of Section 2(a)(iii), although they are generally applicable under the applicable law of the contract. In this context, the suspension of the non-defaulting party`s obligation to pay or deliver has been subject to conflicting judicial interpretations – either as totally inapplicable or as it allows for a permanent suspension – which has led to uncertainties for counterparties in different legal systems (2).
